Terms of Service - Warren IT

1. Introduction

Welcome to Warren IT. These Terms of Service ("Terms") govern your access to and use of warrenit.com (the "Site") and the services provided through it, including but not limited to the Client Portal, invoice management, payment processing, retainer tracking, and related professional services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Account Registration and Authentication

Account Creation

Access to the Client Portal and certain Services requires authentication. You may authenticate using Microsoft Azure Active Directory or AWS Cognito federated identity services. By authenticating, you represent that:

You are authorized to use the credentials provided
The information associated with your identity is accurate
You will maintain the security of your authentication credentials

Account Responsibilities

You are responsible for all activities that occur under your account. You agree to:

Notify us immediately of any unauthorized access or security breach
Not share your authentication credentials with unauthorized individuals
Ensure that only authorized personnel from your organization access your account

3. Client Portal Services

The Client Portal provides access to business management features for Warren IT clients.

Invoice Management

View and track invoices for professional services rendered. Invoice data includes service descriptions, amounts, dates, and payment status. All invoice information is stored securely and accessible only to authorized users associated with your client account.

Payment Processing

Record and view payment history associated with your account. Payment records include amounts, dates, and payment methods. Warren IT does not store complete credit card numbers or sensitive payment credentials on our systems.

Retainer Management

Track retainer balances, usage, and history. Retainer information includes agreement terms, current balance, and usage logs for services rendered against the retainer.

4. Data Collection and Storage

By using the Services, you acknowledge that we collect and store the following information:

Client Information: Business name, contact details, and account identifiers
Invoice Data: Service descriptions, amounts, dates, and payment status
Payment Records: Payment amounts, dates, and method identifiers (not full card numbers)
Retainer Information: Agreement terms, balances, and usage history
Authentication Data: Identity information from federated identity providers
Usage Logs: Access timestamps and activity records for security purposes

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Services for any illegal or unauthorized purpose
Attempt to gain unauthorized access to any portion of the Services or related systems
Interfere with or disrupt the integrity or performance of the Services
Attempt to reverse engineer, decompile, or disassemble any aspect of the Services
Use automated systems (bots, scrapers) to access the Services without authorization
Transmit any malware, viruses, or other malicious code
Impersonate another user or entity
Share access credentials with unauthorized individuals

6. Intellectual Property

Warren IT Property

The Services, including all software, code, design, graphics, and content (excluding your data), are the exclusive property of Warren IT. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes while you maintain an active client relationship with Warren IT.

Your Data

You retain ownership of all data you provide through the Services (such as business information and documents). You grant Warren IT a limited license to store, process, and display your data as necessary to provide the Services.

7. Third-Party Services

The Services integrate with third-party providers for certain functionality:

MongoDB Atlas: Database storage and management
Amazon Web Services (AWS): Cloud infrastructure and Cognito authentication
Microsoft Azure Active Directory: Federated identity authentication
Google Analytics: Website usage analytics (with consent)

Your use of the Services is also subject to the terms and privacy policies of these third-party providers.

8. Service Availability

Warren IT strives to maintain continuous availability of the Services. However, we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

Scheduled maintenance and updates
Emergency repairs or security patches
Factors beyond our reasonable control (network issues, third-party outages)

We will make reasonable efforts to notify clients of planned maintenance when feasible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WARREN IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

This includes, but is not limited to, damages for loss of profits, data, business opportunities, or goodwill, even if Warren IT has been advised of the possibility of such damages.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid to Warren IT for the Services during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Warren IT does not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that you use the Services at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless Warren IT, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Any unauthorized use of your account

12. Termination

Warren IT may suspend or terminate your access to the Services at any time for any reason, including but not limited to:

Violation of these Terms
Non-payment for services
Termination of the underlying client relationship
Conduct that may harm Warren IT or other users

Upon termination, your right to access the Services will immediately cease. Warren IT may retain your data as required by law or legitimate business purposes, subject to our Privacy Policy.

13. Changes to Terms

Warren IT reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Site and updating the "Effective Date" above. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
